Terms of Service

By downloading, purchasing, or using Quolla (the "Software"), you agree to these Terms. If you do not agree, do not use the Software.

Quolla is a thinking tool that combines an AI chat with a spatial map. It uses a bring your own key model: you supply your own API keys for third-party AI providers, and Quolla sends requests from your device using those keys.

• The downloadable version is sold as a one-time purchase. Upon purchase you receive a license key to activate the Software.
• We grant you a personal, non-exclusive, non-transferable license to use the Software for your own use on devices you personally own.
• You may not resell, redistribute, sublicense, or share your license key or the Software installer.
• The free browser demo is provided for evaluation, with limited functionality.

• You are responsible for obtaining and paying for your own API keys and any usage costs charged by AI providers, including OpenAI, Anthropic, and Google. API and usage costs are not included in the price of Quolla and are billed to you directly by those providers.
• Your use of each AI provider is governed by that provider's terms. You are responsible for complying with them.

The Software sends your requests to third-party AI models and displays their responses. We do not generate, control, or guarantee the accuracy, reliability, or appropriateness of AI output. AI responses may be incorrect or misleading. You are responsible for how you use any output. Do not rely on it as professional legal, medical, financial, or other advice.

• You retain ownership of the content you create. Because your content is stored locally, you are responsible for backups.
• You agree not to use the Software for unlawful purposes or in violation of third-party rights or AI providers' policies.

The Software is provided as-is. We may provide updates but are not obligated to. Features may change.

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF DATA, ARISING FROM YOUR USE OF THE SOFTWARE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SOFTWARE WILL NOT EXCEED THE AMOUNT YOU PAID FOR QUOLLA.

Purchases are processed by Lemon Squeezy as Merchant of Record. Their terms also apply to the purchase transaction.

We may terminate the license if you breach these Terms, including by sharing or reselling your license.

These Terms are governed by the laws of Japan, except for conflict of law principles.
